Welcome to Arc Analytics. These Terms of Service (“Terms”) govern your use of our website located at arcanalytics.co and any products, services, or software provided by Arc Analytics, LLC (“Arc Analytics”, “we”, “us”, or “our”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Arc Analytics provides expert data analytics and business intelligence consulting, including:
● Data strategy, architecture, and governance consulting.
● Qlik and Talend platform implementation, integration, and training.
● Custom AI modeling, data engineering, and ETL pipeline development.
● Staffing services for data and analytics professionals. We reserve the right to modify or withdraw our Services at our sole discretion without notice.

3. Intellectual Property Rights

Unless otherwise indicated, the Services and all proprietary content (including the Arc Analytics logo, the Arc Toolkit, text, graphics, and code) are the property of Arc Analytics or our licensors. You are granted a limited, non-exclusive license for internal business use only. You may not reproduce, distribute, or create derivative works from our proprietary materials without express written consent.

4. Professional Services & Engagements

Individual consulting engagements, training programs, and implementations are governed by separate Statements of Work (SOW) or Master Services Agreements (MSA). These Terms supplement those agreements but do not override specific project-level legal terms.
● Delivery: Timelines provided in proposals are estimates. Arc Analytics is not liable for delays caused by third-party software or client-side data availability issues.
● Access: Clients must provide timely access to data environments and key stakeholders to ensure project success

5. Payment Terms and Fees

● Net 30 Standard: Unless otherwise negotiated in a signed Statement of Work, all invoices are due within 30 days of the invoice date.
● Late Payments: Invoices not paid within the Net 30 window may be subject to a late fee of 1.5% per month or the maximum rate permitted by law.
● Taxes: You are responsible for all applicable sales, use, or value-added taxes associated with your purchase of our Services.

6. Third-Party Partners

Our Services often involve integration with third-party technologies (including but not limited to Qlik, Talend, AWS, and Fathom AI). Arc Analytics does not control and is not liable for the uptime, security policies, or performance of these third-party platforms. Your use of these tools is subject to their respective terms and conditions.

7. Disclaimer of Warranties

Except as expressly stated in a written service agreement, our services are provided “as is.” arc analytics disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose. We do not guarantee that data insights or ai models will predict future business outcomes with 100% accuracy.

8. Limitation of Liability

To the maximum extent permitted by law, arc analytics shall not be liable For any indirect, incidental, or consequential damages (including loss Of profits, data, or goodwill) arising from your use of the services. In No event shall our total liability exceed the amount paid by you in the Twelve (12) months preceding the claim

9. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina (or the county of our principal place of business at the time of the claim).

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last Updated” date at the top of this page. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
